Articles of association

Written articles set the association’s rules. They must comply with the Belgian Companies and Associations Code and fit your project. A Belgian ASBL’s registered office must be in Belgium.

Prepare the content

Cover the name, region of the registered office, disinterested purpose, activities, membership admission and departure, general meetings, management and representation. Also address minimum membership, maximum subscriptions, any limited duration and the destination of assets after dissolution. Use FPS Justice’s complete mandatory-content checklist.

Use a current template

JustAct assists with preparing deeds. Adapt any template to your organisation.

Amendments

The general meeting decides amendments. Proposed changes must be precisely stated in the notice. Legal rules include a two-thirds attendance quorum and a two-thirds majority of votes cast; changes to the disinterested purpose or activities defining the object require four-fifths. The articles may impose stricter conditions. If attendance is insufficient, a second meeting may be held subject to the statutory interval.

File the amendments and consolidated articles and complete publication formalities. See formalities.
