Formation and ongoing formalities

  1. Prepare the articles, incorporation deed and appointment of directors. Identify the registered office and authorised representatives.
  2. File the required documents with the competent registry within thirty days of the final deed, completing the publication formalities.
  3. Use JustAct through Just-on-web for available electronic procedures. It replaces e-Greffe and provides formation templates and forms.
  4. Maintain the membership register and organise accounts, budgets and decision records.

Legal personality arises on filing the legally required documents, not merely on signing the articles. Consult Justice’s current procedures, forms and fees before filing; the old 2020 tariffs are no longer a reference.

Then check obligations relevant to your situation: the UBO register, VAT, taxation, employment and activity permits. Incorporation does not replace these procedures.
